Terms and Conditions of Sale

1. Scope

These terms and conditions apply to any order placed with ECKENSTEIN & CO AG via the site eckenstein.shop, for the sale of malt and hops intended for professional and craft brewers established in Switzerland. Any order implies full and unreserved acceptance of these terms and conditions.

2. Nature of the site and ordering process

The site does not offer online payment. Selecting products and submitting the order form constitutes a purchase offer sent by email to ECKENSTEIN & CO AG. The sales contract is only concluded once ECKENSTEIN & CO AG confirms the order in writing (email), in particular subject to stock availability.

3. Prices

Prices shown on the site are in Swiss francs (CHF), excluding delivery costs, and are intended for professional customers. ECKENSTEIN & CO AG reserves the right to change its prices at any time; the price applicable is the one in effect at the time the order is confirmed.

4. Invoicing and payment

No payment is requested at the time of ordering. An invoice is issued and sent after the order is confirmed and stock availability is checked, payable within the period stated on the invoice. In the event of late payment, default interest and reminder fees may be charged in accordance with Swiss law.

5. Delivery and pickup

Malt is picked up at the 1350 Orbe warehouse or delivered by truck (rate calculated according to destination and volume); it cannot be sent by post. In addition to these two options, hops can be sent via Swiss Post, provided the order does not include any malt (rates shown on the site, calculated according to the total hop weight). Pickup at the 1350 Orbe warehouse costs 30 CHF, free for any order from 500 CHF. Stated timeframes are indicative only and are not guaranteed, unless otherwise agreed in writing.

6. Availability, refusal and cancellation of orders

Quantities and descriptions shown on the site are indicative and do not constitute a commitment of availability. ECKENSTEIN & CO AG reserves the right to refuse or cancel all or part of an order, at its sole discretion, in particular but not exclusively in the event of a stock shortage at ECKENSTEIN & CO AG or its supplier, logistical or transport unavailability, an obvious pricing or description error on the site, reasonable doubt as to the seriousness, creditworthiness or identity of the customer, or for any other legitimate reason related to the proper conduct of its business. This right may be exercised at any time before delivery or actual pickup of the goods. The customer is informed as soon as possible; since the site does not offer online payment, no refund is generally necessary, and no compensation or damages of any kind are owed to the customer as a result of such refusal or cancellation, subject to mandatory legal provisions to the contrary.

7. No right of withdrawal

Swiss law does not provide for a legal right of withdrawal for distance sales, including between businesses. Once an order has been confirmed by ECKENSTEIN & CO AG, it is binding on the customer, subject to ECKENSTEIN & CO AG's unilateral right of cancellation under Article 6 above and the provisions of Article 9 below.

8. Inspection and claims

In accordance with Art. 201 of the Swiss Code of Obligations, it is the buyer's responsibility to inspect the condition, quantity and conformity of the goods upon receipt or pickup, and to report any defect to ECKENSTEIN & CO AG without delay and in writing (email), with a precise description of the defect found, failing which the goods are deemed accepted in accordance with Art. 201 para. 2 and 3 of the Swiss Code of Obligations.

9. Origin of products and liability

ECKENSTEIN & CO AG acts as a commercial intermediary: it resells malt and hops manufactured by third-party producers and maltsters (notably Boortmalt, Groupe Soufflet, Les Maltiers, BarthHaas, Hopsteiner, Hop France, or any other supplier named on the invoice). It does not itself carry out any production, malting, growing or processing activity.

ECKENSTEIN & CO AG is not liable for the intrinsic quality, composition, health conformity or any other defect of the goods attributable to their manufacture by a third party. Any claim of this nature must be addressed directly to the producer or original supplier of the batch concerned. Upon simple written request in the event of a dispute, ECKENSTEIN & CO AG will provide the customer with this supplier's contact details and assigns to the customer its own warranty rights and claims against that supplier.

This allocation of liability does not apply where Swiss law mandatorily excludes it (notably in the event of intentional misconduct or gross negligence on the part of ECKENSTEIN & CO AG itself, Art. 100 of the Swiss Code of Obligations). Beyond that, where ECKENSTEIN & CO AG's own liability is engaged, it is limited to replacement of the goods or reimbursement of the price paid, excluding any indirect damage (loss of production, loss of profit, damage to reputation), to the extent permitted by law.

10. Data protection

The processing of personal data in connection with an order is described in our privacy policy.

11. Applicable law and jurisdiction

These terms and conditions are governed exclusively by substantive Swiss law, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is the registered office of ECKENSTEIN & CO AG, subject to mandatory legal provisions to the contrary.
